- Represented a foreign medical school located in the Caribbean, in its successful effort to become Title IV eligible
- Represented an institutional lender on a $100 million line of credit to a foreign medical school
- Represented purchaser on corporate and regulatory matters in the first successful acquisition and conversion to for-profit status of an LCME accredited medical school
- Represented purchaser on the first successful conversion of a private non-profit institution of higher education to a for-profit institution utilizing the Public Benefit Corporation model
- Represented a private equity firm on a $92 million first and second lien credit agreement and purchase of preferred equity in a proprietary education company in the context of a purchase of a multi-campus system of career schools
- Represented a vocational education company in a refinancing of $45 million in debt obligations
- Represented the group of senior secured lenders to a large for-profit education system which oversaw the sale of over 50 campuses and property, as well as the closure of a multi-campus institution
- Represented a for-profit education company in its successful conversion to non-profit status
- Represented a nonprofit law school on its use of a sale-leaseback transaction to restructure debt obligations
- Represented an institutional lender on a $330 million bond issuance
- Represented a group of debt holders to a multistate system of career colleges and pioneered the use of a consensual foreclosure process under Article 9 of the UCC to effectuate a debt for equity swap
