Carol C. Hogan, a founding partner of Hogan Marren Bobbo & Rose, Ltd., brings extensive health care experience with representation in several areas of the health care industry to the firm. She was named in Chambers USA as a regulatory expert in health care matters and has practiced in health care and related areas for over 20 years. Recently, her focus has been hospital/physician alignments designed to increase reimbursement and improving quality and lowering costs. 

Ms. Hogan’s practice focuses upon the development, organization, and operation of integrated delivery systems, corporate transactional and affiliation issues, physician groups and networks as well as physician/hospital joint ventures with a special expertise in legal issues involving tax exemption, Stark, Medicare and Medicaid fraud laws, managed care and integrated health care delivery. Ms. Hogan has structured numerous physician hospital organizations, multi-hospital affiliations, IPAs and “carve out” managed care products, service line co-management agreements and pay-for-performance arrangements. 

As an example of her practice expertise, she has recently completed an analysis regarding the tax, CON, licensure and corporate organizational and governance issues regarding the restructuring of a large metropolitan health care system. Ms. Hogan has also assisted organizations in analyzing the regulatory issues regarding pay-for-performance programs and other issues involving collaborations around quality and cost. In her capacity as general legal advisor to many of our clients, she has negotiated and structured vendor relationships for information systems, supplies, billing services and insurance. 

Ms. Hogan also is an expert in not-for-profit law and has advised boards of trustees of not-for-profit organizations, including schools and retirement housing facilities and tax exempt group purchasing organizations, as to their fiduciary obligations in light of charitable trust, tax exemption and the Sarbanes-Oxley laws. In addition, Ms. Hogan serves as a frequent speaker, writer and panelist.
